SiliconANGLE reported on Oct. 15 that cybersecurity company Proofpoint has agreed to acquire data security company Varonis Systems for about $6.3 billion in cash.
Proofpoint will buy Varonis shares for $49.75 each, the report said. That is 52 percent higher than the stock price before acquisition speculation emerged.
Bloomberg first reported in June that private equity firms including Blackstone, Thoma Bravo and Vista Equity Partners had shown interest in acquiring Varonis. In early September, Proofpoint emerged as a negotiating party.
Private equity firm Thoma Bravo acquired Proofpoint for $12.3 billion in 2021 and took it private. Proofpoint has acquired several companies since then, and SiliconANGLE said this deal is the largest.
Proofpoint previously acquired German Microsoft 365 security company Hornetsecurity last year.
Varonis provided software that maps who can open each file stored on a company’s servers, and it is now focusing on AI security.
In September 2025, it also acquired phishing detection company SlashNext.
Proofpoint plans to bundle Varonis data discovery and access control technology with its email, collaboration and data loss prevention products to offer an integrated platform.
Proofpoint CEO Sumit Dhawan (수밋 다완) said, “As AI becomes embedded across enterprises, which data AI can access determines both AI’s value and its risks.”
